Important Liability Notice
HoneyRuns is a fleet autopilot and monitoring platform. We are NOT responsible for driver actions, vehicle operations, accidents, or any incidents that occur during vehicle use. Users maintain full responsibility for vehicle monitoring, driver oversight, and safety compliance.
These Terms of Service ("Terms") govern your access to and use of HoneyRuns ("we", "us", or "our") fleet management platform and related services. By accessing or using HoneyRuns, you ("Customer", "User", or "you") agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing our platform, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately cease using our services.
2. Description of Services
Core Platform Services
HoneyRuns provides:
- Fleet tracking and vehicle monitoring technology
- Telematics data aggregation and reporting
- Driver behavior analytics and insights
- Vehicle maintenance tracking and alerts
- Route optimization and planning tools
- Fuel efficiency monitoring and recommendations
- Compliance reporting and documentation
- Integration with third-party telematics providers (DIMO, Samsara, etc.)
- SMS/text messaging services for operational notifications
SMS and Communication Services
Our SMS services include operational notifications sent to drivers and fleet personnel. By using our SMS services, you acknowledge and agree that:
- You must obtain proper consent from all recipients before enrolling them in SMS communications
- You are responsible for compliance with TCPA, CAN-SPAM, and all applicable telecommunications regulations
- Message frequency varies based on fleet operations and alert settings
- Standard message and data rates may apply to recipients
- Recipients can opt-out at any time by replying STOP to any message
- You must maintain proper opt-in records and respect opt-out requests
- You are liable for any violations of telecommunications laws or regulations
Optional Features
- Automated fleet monitoring ("Autopilot" features)
- Real-time alerts and notifications
- Predictive maintenance recommendations
- Advanced analytics and reporting
3. User Responsibilities and Obligations
Critical User Responsibilities
You are solely responsible for:
- Driver supervision: Monitoring, training, and managing all drivers in your fleet
- Vehicle safety: Ensuring all vehicles are properly maintained and safe to operate
- Compliance oversight: Meeting all applicable transportation, safety, and regulatory requirements
- Active monitoring: Even with autopilot features enabled, you must actively monitor your fleet operations
- Emergency response: Having appropriate emergency procedures and contacts in place
Account Responsibilities
- Maintaining the confidentiality and security of your account credentials
- Ensuring accurate and up-to-date account information
- Monitoring all activities that occur under your account
- Immediately notifying us of any unauthorized access or security breaches
- Using the platform only for lawful business purposes
Data and Integration Responsibilities
- Ensuring you have proper authorization to connect vehicles and collect telematics data
- Obtaining necessary driver consent for data collection and monitoring
- Maintaining compliance with employment laws regarding driver monitoring
- Properly configuring and maintaining third-party integrations
4. Limitations of Platform and Autopilot Features
Autopilot and Monitoring Limitations
The term "autopilot" refers ONLY to automated data collection and basic alert systems. It does NOT provide:
- Automated vehicle control or intervention
- Real-time driver supervision or coaching
- Guaranteed accident prevention
- Emergency response services
- Replacement for human oversight and management
YOU MUST MAINTAIN ACTIVE, CONTINUOUS OVERSIGHT of your fleet operations regardless of which features are enabled.
Platform Limitations
- Our platform provides data and insights; it does not control vehicles
- Alerts and notifications may be delayed due to network conditions
- GPS and telematics data may be inaccurate due to technical limitations
- Third-party integrations may experience outages or data delays
- Platform availability is subject to maintenance and technical issues
5. Limitation of Liability and Disclaimers
No Liability for Vehicle Operations
HoneyRuns is NOT LIABLE for:
- Vehicle accidents: Any collision, crash, or incident involving your vehicles
- Driver actions: Any behavior, decisions, or actions taken by drivers
- Property damage: Damage to vehicles, cargo, infrastructure, or other property
- Personal injury: Any injury or harm to drivers, passengers, or third parties
- Business losses: Lost revenue, failed deliveries, or operational disruptions
- Regulatory violations: Fines, penalties, or compliance failures
- Data accuracy: Decisions made based on platform data or recommendations
Maximum Liability Cap
To the fullest extent permitted by law, our total liability for any claims arising from or related to these Terms or your use of our services shall not exceed the amount you paid to HoneyRuns in the twelve (12) months preceding the claim.
Disclaimer of Warranties
Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, including but not limited to:
- Accuracy, reliability, or completeness of data
- Uninterrupted or error-free operation
- Fitness for a particular purpose
- Non-infringement of third-party rights
- Security of data transmission or storage
6. Indemnification
You agree to indemnify, defend, and hold harmless HoneyRuns and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:
- Your use of our platform or services
- Vehicle accidents or incidents involving your fleet
- Driver actions or violations of traffic laws
- Your violation of these Terms or applicable laws
- Property damage or personal injury caused by your operations
- Regulatory violations or compliance failures
- Disputes with drivers, customers, or third parties
7. Account Terms and Payment
Subscription and Billing
- Fees are due in advance according to your selected billing cycle
- All fees are non-refundable unless otherwise specified
- We may modify pricing with 30 days advance notice
- Late payments may result in service suspension
- You are responsible for all applicable taxes
Service Modifications
- We may modify, suspend, or discontinue features with notice
- Third-party integrations may change or become unavailable
- We will provide reasonable notice of material changes
8. Data and Privacy
Data Collection and Use
Our collection and use of data is governed by our Privacy Policy. Information we collect includes but is not limited to vehicle telematics, driver behavior data, location information, and operational metrics. Key points include:
- You retain ownership of your fleet and operational data
- We may use aggregated, anonymized data for platform improvement
- Third-party integrations have their own data policies
- You must ensure proper driver consent for data collection
Data Security
While we implement industry-standard security measures, you acknowledge that:
- No system is 100% secure from breaches or unauthorized access
- You must implement appropriate internal security practices
- You are responsible for backup and recovery of critical data
9. Compliance and Legal Requirements
Regulatory Compliance
You are solely responsible for compliance with all applicable laws and regulations, including:
- Department of Transportation (DOT) regulations
- Federal Motor Carrier Safety Administration (FMCSA) requirements
- Hours of Service (HOS) regulations
- Electronic Logging Device (ELD) requirements
- State and local transportation laws
- Employment and privacy laws regarding driver monitoring
- Environmental and safety regulations
Driver Rights and Employment Law
- You must comply with all employment laws regarding monitoring
- Obtain proper consent for driver surveillance and data collection
- Provide appropriate notices to drivers about monitoring
- Ensure monitoring practices comply with union agreements where applicable
10. Prohibited Uses
You may not use our platform for:
- Illegal activities or violations of applicable laws
- Harassment, stalking, or unauthorized surveillance
- Interfering with platform security or integrity
- Reverse engineering or attempting to access source code
- Reselling or redistributing our services without authorization
- Uploading malicious code or attempting to breach security
11. Termination
Termination by Either Party
- Either party may terminate with 30 days written notice
- We may terminate immediately for violation of these Terms
- We may suspend service for non-payment
- Termination does not relieve you of payment obligations
Effect of Termination
- Your access to the platform will be discontinued
- Data may be deleted according to our retention policy
- Third-party integrations will be disconnected
- Survival provisions (liability, indemnification) remain in effect
12. Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, network outages, cyber attacks, or other force majeure events.
13. Dispute Resolution
Governing Law

Severability

Final Reminder: HoneyRuns provides fleet autopilot tools and data insights. We do not control vehicles, supervise drivers, or provide emergency services. You maintain full responsibility for safe fleet operations, regulatory compliance, and driver management.
